Loss of the right of withdrawal for digital content: In accordance with Art. 103(m) LGDCU, the right of withdrawal does not apply to the supply of digital content where performance of the contract has begun with the consumer’s prior express consent and their acknowledgement that they thereby lose the right of withdrawal. By activating the SaaS license and ticking the corresponding consent box during the ordering process, the Customer accepts the loss of the right of withdrawal for the part of the service already performed.
10.3 Effects of withdrawal on hardware
In the event of a valid withdrawal from a hardware purchase:
- The Customer must return the equipment to Synaedge Spain SL without undue delay and no later than 14 calendar days after notifying the withdrawal.
- The equipment must be returned in its original packaging, without signs of use beyond the handling necessary to establish its nature and functioning.
- Return costs shall be borne by the Customer, unless Synaedge Spain SL has indicated otherwise.
- Synaedge Spain SL will refund the purchase price (excluding original shipping costs) within a maximum of 14 calendar days from receipt of the equipment or from the Customer’s proof of dispatch, whichever is earlier. The refund will be made using the same means of payment used for the purchase.
10.4 Business customers (B2B)
Customers acting in the course of their professional or business activity do not have a right of withdrawal under consumer law. Return conditions for B2B shall be governed by what is expressly agreed in the specific offer or contract.
11. Legal guarantee
11.1 Guarantee on hardware (physical goods)
In accordance with Royal Legislative Decree 1/2007 (Arts. 114 et seq.) and Directive (EU) 2019/771, the seller is liable for any lack of conformity of physical goods that becomes apparent within the following period:
- Consumers: 2 years from delivery of the goods (with a presumption that defects appearing within the first 2 years existed at the time of delivery).
- Business customers (B2B): 1 year from delivery, unless otherwise agreed.
The guarantee covers manufacturing and conformity defects. It does not cover damage caused by improper use, unauthorised modifications, accidents, normal wear and tear or failure to follow the installation and maintenance instructions.
In the event of a lack of conformity, the Customer is entitled, in this order, to: (1) repair or replacement of the goods; (2) a proportionate price reduction or termination of the contract if repair/replacement is not possible or has failed.
11.2 Guarantee on SaaS software (digital content and digital services)
In accordance with Royal Decree-Law 7/2021 of 27 April (transposing Directive (EU) 2019/770), Synaedge Spain SL guarantees the conformity of the digital service for the entire subscription period. This includes:
- That the software works according to its description and the published features.
- That the software is kept up to date and secure for the duration of the contract.
In the event of a lack of conformity of the digital service, the consumer Customer may demand that it be brought into conformity or, if this is not possible within a reasonable time without significant inconvenience, a price reduction or termination of the contract.
11.3 Additional commercial guarantee
Independently of the legal guarantee, Synaedge Spain SL offers an additional commercial guarantee on hardware of 12 months (a total of 3 years from delivery for consumers), covering manufacturing defects not covered by the legal guarantee due to wear. The conditions of this commercial guarantee are set out in the guarantee document included with the product.
To make any guarantee claim, the Customer must contact carlos.weber80@gmail.com, attaching the purchase invoice and a detailed description of the defect.
12. Returns and refunds
Without prejudice to the right of withdrawal (clause 10) and the legal guarantee (clause 11), Synaedge Spain SL accepts hardware returns in the following cases:
- The product does not match the confirmed order (shipping error).
- The product arrived damaged in transit (reported in time in accordance with clause 7.2).
- The product has a conformity defect covered by the guarantee and repair/replacement is not possible.
In all cases, the Customer must first contact Synaedge Spain SL to obtain a return authorisation number (RMA). Returns without a prior RMA will not be accepted.
Refunds will be made within a maximum of 14 calendar days after Synaedge Spain SL has received and checked the condition of the returned product, using the same means of payment used for the purchase.
Refund policy for SaaS
SaaS subscription fees already paid are non-refundable, except in the cases provided for by law (conformity guarantee) or in the event of a service failure attributable to Synaedge Spain SL that has prevented use of the service for a significant period.
13. Liability
13.1 Limitation of liability
Except in cases of wilful misconduct or gross negligence, and without prejudice to mandatory consumer protection provisions, the liability of Synaedge Spain SL shall be limited to the total amount paid by the Customer in the 12 months preceding the event giving rise to the claim.
Synaedge Spain SL shall not be liable for indirect damages, loss of profits, loss of data or losses arising from the use or inability to use the software, except where the applicable law does not permit such limitation.
13.2 Lawful use
The Customer is solely responsible for ensuring that the use of the Storetraffic.ai system (including the capture of images by cameras) complies with the regulations in force, in particular:
- The General Data Protection Regulation (GDPR) and the LOPDGDD, regarding the processing of images of people.
- Instruction 1/2006 of the Spanish Data Protection Agency (AEPD) on the processing of data for video surveillance purposes.
- Local regulations on the placement of cameras in establishments open to the public.
Synaedge Spain SL accepts no liability for the Customer’s failure to comply with its legal obligations regarding video surveillance and data protection.
13.3 Force majeure
Neither party shall be liable for failures arising from force majeure (natural disasters, pandemics, large-scale cyberattacks, armed conflicts, general strikes or other unforeseeable and unavoidable circumstances). The affected party must notify the other of the force majeure situation as soon as possible.
14. Data protection
The processing of personal data provided by the Customer is governed by the Privacy Policy of Synaedge Spain SL, which forms an integral part of these GTC.
With regard to the traffic and analytics data of the Customer’s store, Synaedge Spain SL acts as data processor within the meaning of Art. 28 GDPR. To this end, a corresponding data processing agreement (DPA) will be signed at the time of contracting or at the Customer’s request.
15. Applicable law and jurisdiction
15.1 Applicable law
These GTC and the contracts concluded between Synaedge Spain SL and the Customer are governed by Spanish law, in particular:

- Law 3/2004 on combating late payment in commercial transactions.

15.2 Jurisdiction
For the resolution of any dispute arising from these GTC or from contracts concluded under them, the parties submit, waiving any other jurisdiction that may apply, to the Courts and Tribunals of Dénia (Alicante).
However, if the Customer is a consumer, the court of the consumer’s place of residence or that of Dénia shall have jurisdiction, at the consumer’s choice, in accordance with Art. 52 of the Spanish Civil Procedure Act.
15.3 Alternative dispute resolution
Consumers can access the European online dispute resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
For consumer complaints in Spain, the Consumer Arbitration Boards (Juntas Arbitrales de Consumo) may also be used.
15.4 Partial invalidity
If any clause of these GTC is declared null or unenforceable, such invalidity shall not affect the remaining clauses, which shall remain fully in force.

10. Widerrufsrecht
„An: Synaedge Spain SL, Marques de campos 42, piso 4, pta 7, E-03700 Dénia (Alicante) / carlos.weber80@gmail.com
- Geschäftskunden (B2B): 1 Jahr ab Lieferung, sofern nichts anderes vereinbart.
